These Terms of Service ("Terms") govern your access to and use of the CSVEngine website and application located at csvengine.com (the "Service"), operated by CSV Engine ("CSVEngine", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
CSVEngine is a web application that helps you import, map, clean, deduplicate, and process spreadsheet data from CSV and Excel files, and manage reusable templates and workflows. We may update, modify, or discontinue features of the Service at any time.
2. Eligibility
You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.
3. Accounts and Security
To use most features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
4. Plans, Credits, and Billing
4.1 Credits
The Service operates on a credit-based model, where credits are consumed as you process data (for example, based on the number of rows processed). The number of credits included with each plan, credit rollover and expiration rules, and the cost of additional credit packs are described on our pricing page, which may be updated from time to time. Credits have no monetary value, are non-transferable, and are non-refundable except as required by law.
4.2 Subscription Plans
We offer both free and paid subscription plans. The features, credit allowances, and prices for each plan are described on our pricing page. We may change our plans and pricing at any time; any price changes will apply to your next billing cycle and, where required, we will provide advance notice.
4.3 Free Trial
We may offer a free trial of a paid plan. Unless you cancel before the end of the trial period, you may be automatically charged for the applicable subscription when the trial ends. Trial eligibility and terms are determined at our discretion.
4.4 Billing and Renewal
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) through our third-party payment processor. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis.
4.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will continue to have access to paid features until then. We do not provide partial refunds for unused time except where required by law.
4.6 Refunds
Except as expressly stated in these Terms or as required by applicable law, all payments are non-refundable.
5. Your Content and Data
5.1 Ownership
You retain all rights to the files and data you upload to the Service ("Your Content"). We do not claim ownership of Your Content.
5.2 License to Operate the Service
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Your Content solely as necessary to provide and maintain the Service for you. We do not use the contents of your uploaded files to train machine learning models or for advertising.
5.3 Your Responsibilities
You are solely responsible for Your Content, including its accuracy, quality, and legality, and for ensuring that you have all rights, permissions, and consents necessary to upload and process it. You represent that your use of the Service and Your Content does not violate any applicable law or the rights of any third party. Our handling of personal information is described in our Privacy Policy.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation, or infringe the rights of others;
- Upload, process, or distribute data that you do not have the right to use;
- Upload content that is unlawful or harmful, or that contains malware or malicious code;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law;
- Resell, sublicense, or commercially exploit the Service without our prior written consent;
- Use automated means to access the Service in a manner that violates these Terms.
We reserve the right to investigate and take appropriate action against anyone who violates this section, including suspending or terminating accounts.
7. Intellectual Property
The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by us or our licensors and is protected by applicable intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Service. You may not use our name, logo, or trademarks without our prior written permission.
8. Third-Party Services
The Service relies on and may integrate with third-party services, including authentication, hosting, and payment providers. Your use of those services may be subject to their own terms and policies. We are not responsible for the acts or omissions of third-party providers.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA PROCESSING WILL BE FREE FROM ERRORS. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DATA.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless CSV Engine and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or applicable law.
12. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we reasonably believe your use poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ceases, and we may delete your account and Customer Data in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive.
13. Changes to the Service and Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
14. Governing Law and Disputes
These Terms are governed by the laws of Commonwealth of Virginia, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Commonwealth of Virginia, unless otherwise required by applicable law.
15. General
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
